Ein Wertpapier oder eine Wertschrift ist eine Urkunde, die ein privates Recht in der Weise verbrieft, dass das Recht aus der Urkunde gegenüber dem Schuldner nur geltend gemacht werden kann, wenn der Inhaber der Urkunde diese dem Schuldner vorlegt. Eine Urkunde dient der Sichtbarmachung und als Nachweis eines Rechtes. Ohne den Besitz der Urkunde kann das darin verbriefte Recht nicht geltend gemacht werden. Urkunden sind im Zeitalter der IT-gestützten Buchführung veraltet und es gibt sie nur noch wegen der historisch gewachsenen Rechtsgrundlage, die eine Verbriefung verlangt. Nach und nach gehen immer mehr Staaten im Zuge der Modernisierung ihres Rechts dazu über, Urkunden abzuschaffen und durch Buchungsposten zu ersetzen . In den Staaten, deren Recht noch Urkunden fordert, werden sie zwar noch ausgestellt.
